1. Scope and Provider

These Terms of Service ("Terms") govern your use of the Mailgator service ("Service"), operated by:

By registering for an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

Mailgator is self-hosted software that you install and run on your own infrastructure. It functions as a transparent IMAP/SMTP proxy that provides human control over AI email access. The Service consists of:

• A CLI application (the proxy) that runs entirely on your infrastructure
• A web platform (mailgator.io) for account management, subscription, and license validation

The Mailgator proxy allows you to:

• Configure access control rules for email accounts via IMAP and SMTP protocols
• Monitor and control which AI systems can access which emails
• Define policies such as "allow", "deny", or "ask" for email operations

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Mailgator is offered as a Software-as-a-Service (SaaS) on a subscription basis. Available plans and their features are described on our pricing page. We reserve the right to modify plans and pricing. Existing subscriptions will not be affected by price changes until the next renewal period.

4.2 Billing

Subscriptions are billed annually in advance. All prices are in Euros and include applicable taxes unless stated otherwise. Payment is processed securely via Stripe. We do not store your full payment card details.

4.3 Free Trial

We may offer a free trial period. A valid payment method is required to start a trial. At the end of the trial, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends. You will be notified via email before any charges are made. You can cancel at any time during the trial period at no cost through your account dashboard.

4.4 Refunds

If you are an EU consumer, you have a 14-day statutory right of withdrawal from the date of purchase. To exercise this right, contact us at info@mailgator.io. After the withdrawal period, subscription fees are non-refundable for the remaining billing period.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to send, relay, or facilitate spam, phishing, or unsolicited bulk email
• Use the Service to distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to other users' accounts or our infrastructure
• Use the Service in violation of any applicable law or regulation
• Resell, sublicense, or redistribute the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to process email accounts you do not own or have authorization to access

We reserve the right to suspend or terminate your account immediately if we reasonably believe you are violating these acceptable use terms.

6. Service Availability

We strive to provide high availability for the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice)
• Emergency maintenance to address security or stability issues
• Circumstances beyond our control (force majeure)

The Mailgator proxy software runs on your own infrastructure. We are not responsible for its operation, uptime, or availability on your systems. The web platform (mailgator.io) is provided for account management and license validation only.

As a proxy, Mailgator's operation also depends on the availability and correct functioning of the upstream email servers you connect. We are not responsible for outages or issues caused by third-party email providers or your own infrastructure.

7. Intellectual Property

The Service, including its software, design, text, graphics, and logos, is owned by us and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose during the subscription term.

You retain all rights to your email content and data. We claim no ownership over any data that passes through the Mailgator proxy.

8. Data Protection

We process personal data in accordance with our Privacy Policy, which forms an integral part of these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until that date. You may also request deletion of your account and all associated data at any time.

9.2 Termination by Us

We may terminate or suspend your access to the Service:

• Immediately for material breach of these Terms, including violation of acceptable use policies
• With 30 days notice for any other reason, including discontinuation of the Service

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, except where retention is required by law (e.g., payment records for tax purposes). You may request an export of your configuration data before termination.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email. If you do not agree to the updated Terms, you may cancel your subscription before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If you are a consumer within the EU, you also benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer under applicable EU consumer protection legislation.

For disputes with consumers, the competent courts are determined by applicable law. For business customers, the exclusive place of jurisdiction is Badenhard, Germany.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely achieves the economic purpose of the original provision.
